Terms & Conditions

These Terms & Conditions ("Terms") govern the website (rallyshare.co.uk) and tennis ball‑machine services (the "Service") provided by RallyShare Ltd ("RallyShare", "we", "us"). By accessing our site, hosting a RallyShare machine or booking a session you ("Club", "User", "you") agree to these Terms.

Definitions

  • Club – the venue or operator that hosts a RallyShare machine.

  • User – any individual who books or operates the machine.

  • Machine – the ball machine and its accessories (battery, charger, hopper, cover).

  • Stipend – the annual fixed payment from RallyShare to a Club under clause 5.

  • Booking Portal – RallyShare’s online system or integrated ClubSpark calendar used to reserve sessions.

Eligibility

  1. Clubs must be based in the United Kingdom, hold valid public‑liability insurance for racquet‑sport activities and maintain courts in safe condition.

  2. Users must be 16 years or older or supervised by a qualified coach or responsible adult.

Service Description

  1. RallyShare supplies, installs and retains ownership of the Machine; the Club provides secure, weather‑proof storage and a standard 13 A mains socket for charging.

  2. RallyShare handles all payments through the Booking Portal unless otherwise agreed in writing.

  3. RallyShare insures the Machine and carries £2 million public‑liability cover; Clubs remain responsible for the safety of their courts and for first‑aid provision during use.

  4. RallyShare may substitute or upgrade the Machine at any time provided specifications are equal or better.

Club Obligations

  1. Storage & Power – keep the Machine locked indoors or under an all‑weather cover supplied by RallyShare; keep the battery on charge when not in use.

  2. Access Control – share the lock code/key only with Users who have completed the onboarding briefing.

  3. Daily Visual Check – staff must refuse use if the Machine appears damaged or unsafe and immediately notify RallyShare.

  4. Incident Reporting – any injury, near‑miss or equipment fault must be reported to support@rallyshare.co.ukwithin 24 hours.

  5. Site‑specific Risk Assessment – the Club must display the safety poster provided and ensure adequate run‑off and fencing per LTA guidelines

Stipend & Payment Schedule

  1. Usage is calculated on a calendar‑year basis (1 Jan – 31 Dec) from Booking Portal records.

  2. Stipends are paid by BACS no later than 31 Jan of the following year.

  3. No other revenue share applies unless a separate written addendum is signed.

    > 10 h = £500
    > 8 - 10 h = £300
    > 4 -  8 h = £200
    > 2 - <4 h = £100
     

Booking & Cancellation (Users)

  1. Bookings are first‑come‑first‑served and may be limited to specific courts/times by the club to protect member access.

  2. Users may cancel up to 12 hours before the session for a full refund; shorter‑notice cancellations are non‑refundable.

  3. RallyShare may cancel or pause sessions for maintenance, weather or safety reasons; affected Users receive a credit or refund.

User Responsibilities & Safety

  1. Inspect the Machine before use; do not operate if parts are loose, cracked or wet.

  2. Maintain a 3 m (10 ft) clear zone in front of the launcher; stand behind the baseline when feeding.

  3. Stop the Machine before retrieving balls or adjusting settings.

  4. Do not use the Machine on wet courts, during active rainfall or in sustained winds above 30 km/h.

  5. Use only RallyShare-provided balls; foreign objects or wet balls void warranty and the machine may be removed from the club if signs of misused occur.

  6. Users acknowledge that tennis is a physical activity and participate at their own risk.

  7. Booking compliance: The Machine may only be operated during a paid booking recorded in the Booking Portal. RallyShare machines contain built‑in usage telemetry; unauthorised sessions will be charged to the Club at the prevailing hourly rate plus a £25 administration fee. Repeated breaches constitute a material breach: RallyShare may suspend booking access and, if not remedied, remove the Machine and cancel the hosting agreement under clause 13.

Maintenance & Repairs

  1. RallyShare performs quarterly servicing and free call‑outs within 48 hours for faults.

  2. Clubs must store and charge the Machine as instructed; damage arising from misuse or neglect may be recharged at cost.

  3. RallyShare may invoice the Club for consumables (e.g., lost ball hoppers, chargers) if repeatedly misplaced.

Data Protection

Processing of personal data is governed by our Privacy Policy. 

Intellectual Property

All RallyShare logos, marks, guides and portal software are protected by UK copyright and trademark law. No licence is granted except for normal use of the Service.

Warranties & Disclaimers

  1. RallyShare warrants the Machine will be in safe, working order on delivery and after each scheduled service.

  2. Except as expressly stated, the Service is provided “as is” without any other warranties, express or implied, including fitness for a particular purpose.

  3. RallyShare does not guarantee uninterrupted availability; routine maintenance or force‑majeure events may cause downtime.

Limitation of Liability & Indemnity

  1. RallyShare is not liable for indirect, consequential or special damages, including loss of profits or goodwill.

  2. In any event, our total annual liability shall not exceed the stipends paid to the Club in the same year or £500, whichever is greater.

  3. Clubs agree to indemnify RallyShare against claims arising from (a) unsafe court conditions, (b) unauthorised alterations to the Machine, or (c) failure to enforce the safety rules in user responsibilities & safety.

Termination

  1. RallyShare offer the service on a 'good faith basis;. Either party may terminate after the initial 30‑day pilot with 7 days’ written notice.

  2. RallyShare may terminate immediately if payments are overdue, the Machine is repeatedly damaged, misused without booking or safety rules are materially breached.

  3. Upon termination RallyShare will remove the Machine within 7 days; any stipend due will be pro‑rated to the removal date.

Force Majeure

Neither party is liable for failure or delay caused by events beyond reasonable control (e.g., fire, flood, strike, pandemic, supplier failure). Obligations are suspended for the duration of such events.

Governing Law & Jurisdiction

These Terms are governed by the laws of England & Wales. Disputes shall be resolved exclusively in the courts of England  &  Wales.

Changes to Terms

We may update these Terms; material changes will be posted on the website and emailed to registered Clubs at least 14 days before taking effect. Continued use after that date constitutes acceptance.
